  • Related consulting and technical services

Services may be subject to additional terms, specifications, and service level agreements (SLAs) outlined in separate contracts or statements of work.

3. User Responsibilities

You agree to:

  • Provide accurate, current, and complete information when using our services
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Comply with all applicable laws and regulations
  • Not use our services for any illegal or unauthorized purpose

4. Payment Terms

5. Intellectual Property Rights

5.2 Client Data

You retain all rights to your data and content. By using our services, you grant us a limited license to access, process, and store your data solely for the purpose of providing our services.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This obligation survives termination of services.

7. Service Level Agreements (SLAs)

We strive to provide reliable services with 99.9% uptime. Specific SLA terms, including:

  • Uptime guarantees
  • Response times
  • Support availability
  • Service credits for downtime

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY FLORIDA LAW:

  • OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION
  • WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE

9. Indemnification

You agree to indemnify, defend, and hold harmless Dominion X AI Systems, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

10. Termination

10.1 Termination by You

You may terminate services by providing written notice as specified in your service agreement (typically 30 days' notice).

10.2 Termination by Us

We may terminate or suspend services immediately if you:

  • Breach these Terms or your service agreement
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activities
  • Pose a security risk to our systems or other clients

10.3 Effect of Termination

Upon termination, we will provide reasonable assistance in transitioning your data. You remain responsible for all fees accrued prior to termination.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.

11.2 Jurisdiction and Venue

Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida. Both parties consent to the personal jurisdiction of such courts.

11.3 Mediation

Before initiating litigation, parties agree to attempt to resolve disputes through good-faith mediation.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice at least 30 days before taking effect. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with any service agreements and statements of work, constitute the entire agreement between you and Dominion X AI Systems.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to any affiliated entity or successor.
